Terms of Service

Welcome to DecorFlow, a product developed, owned, and operated by SOVI TECH LABS (OPC) PRIVATE LIMITED ("Company," "we," "us," or "our").

These Terms of Service ("Terms") constitute a legally binding agreement between the Company and the business entity or professional registering for the Service ("Customer," "you," or "your").

By accessing or using our website and applications (collectively, the "Service"), you agree to be bound by these Terms.

1. Description of Service

DecorFlow is a Business-to-Business (B2B) Software-as-a-Service (SaaS) platform designed for interior design studios, architects, and contractors to manage business operations, projects, quotations, and client communications. The Service is intended solely for business and commercial use and is not intended for personal, household, or consumer use.

2. Account Registration & Security

• Account Creation: You must provide accurate, current, and complete business information during registration.
• Authorized Users:You are responsible for all activities that occur under your account, including actions taken by your employees, contractors, consultants, agents, and invited end-clients ("Authorized Users").
• Security: You must maintain the confidentiality of your login credentials and are strictly prohibited from sharing your account access with unauthorized third parties. You agree to notify us immediately of any unauthorized access to your account and take reasonable steps to prevent further unauthorized access.

3. Acceptable Use

You agree to use the Service strictly for lawful business purposes. You must not, and must not allow your Authorized Users to:

• Upload, transmit, or store any illegal, harmful, offensive, or inappropriate content.
• Distribute malware, viruses, or any other malicious code.
• Violate or infringe upon the intellectual property, privacy, or other rights of third parties.
• Attempt to reverse-engineer, decompile, hack, or disrupt the integrity or performance of the Service.
• Abuse, manipulate, or bypass our AI features, billing systems, or usage limits.
• Engage in any activity that causes platform disruption.
• Use the Service in a manner that interferes with or degrades the experience of other users.

4. Client Portal & End-Client Communications

The Service provides features that allow you to invite your end-clients to a dedicated portal. You represent and warrant that you have obtained all necessary consents from your end-clients to input their personal data into the Service and to send them communications (such as SMS/WhatsApp notifications or OTPs). We bear no liability for any agreements, communications, or disputes between you and your end-clients.

5. Subscriptions, Billing, and Payments

• Fees: Access to premium features requires a paid subscription. All fees are stated in Indian Rupees (INR) and are exclusive of applicable taxes unless stated otherwise.
• Billing: Subscription fees are billed in advance on a recurring basis (monthly or annually). Payments are processed securely through our authorized third-party payment gateways.
• Taxes: You are responsible for paying all applicable taxes (such as GST) associated with your subscription.
• Changes to Fees:We reserve the right to modify our pricing with at least thirty (30) days' prior notice. Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the modified amount.

6. Intellectual Property, Data Ownership & Export

• Customer Data:You retain all ownership rights to the business data, client lists, floor plans, and project details you upload to the Service ("Customer Data"). You grant us a limited, secure license to host, process, and display this data solely to provide the Service to you.
• Data Export: Customers may export their data before account termination, subject to available export functionality at the time of export.
• Company IP: The Service, including its software, UI/UX, source code, algorithms, and branding, is the exclusive property of SOVI TECH LABS (OPC) PRIVATE LIMITED. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on the Service.

7. AI-Assisted & Beta Features

• AI Tools:The Service includes artificial intelligence (AI) features to assist with drafting descriptions, generating summaries, and workflow automation. These tools are provided "as is" to aid your workflow. AI-generated content may be incomplete, inaccurate, or unsuitable for a particular purpose. You are solely responsible for reviewing, editing, and verifying the accuracy of any AI-generated content before presenting it to your clients.
• Beta Features: Beta or Preview features may be modified or removed without notice and are provided without warranties of any kind.

8. Service Availability & Backups

• Service Availability: We strive to maintain high availability but do not guarantee uninterrupted or error-free operation of the Service.
• Backups: While we maintain backups for disaster recovery, customers remain responsible for maintaining copies of their critical business data.

9. Disclaimers and Limitation of Liability

• As-Is Basis:The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.
• Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business goodwill. Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total amount paid by you to us for the Service in the twelve (12) months preceding the claim.

10. Force Majeure

We are not liable for service interruptions or failures caused by events beyond our reasonable control, including internet outages, cloud provider failures, natural disasters, government actions, or other similar events. We will use commercially reasonable efforts to restore the Service as soon as reasonably practicable.

11. Term, Suspension & Termination

• Termination: You may terminate your account at any time. We reserve the right to terminate your access to the Service immediately, without prior notice, if you breach these Terms.
• Suspension: We may suspend access to the Service, with or without prior notice where reasonably necessary, if required for maintenance, security incidents, abuse investigations, or legal compliance.

12. Confidentiality

Both parties acknowledge that they may receive confidential information from the other party. Each party agrees to use such information solely for purposes of providing or using the Service and not disclose it to third parties except as required by law or to trusted service providers bound by appropriate confidentiality obligations.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service constitutes acceptance of the revised Terms.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and the Company regarding the use of the Service, superseding any prior agreements.
• Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of our right to later enforce that or any other right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction.

15. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana.
